Terms of service
Draft — for review by counsel. Not yet in effect.
These terms govern your use of PaySaver.ai ("we", "us"). By creating an account you agree to them for yourself and for each business you add.
1. What PaySaver.ai is, and isn't
PaySaver.ai is software. It calculates payroll and payroll taxes, prepares pay stubs, deposit amounts, tax forms and filing-ready files, and reminds you of due dates.
- We are not a tax preparer, a payroll service provider, a professional employer organization or a bank.
- We never act as your IRS reporting agent (Form 8655) or as an agent for any state. We don't file returns, make tax deposits or pay your employees for you, and we never hold or move your money.
- Nothing in the service is legal, tax or accounting advice.
2. Your responsibilities
You, as the employer, remain responsible for:
- The information you enter: employees and contractors, pay rates, hours, withholding certificates (W-4 and state forms), deductions, tax account numbers and bank details.
- Reviewing each payroll before you approve it.
- Making tax deposits and payments, and filing returns and forms, on time with the right agencies.
- Paying your employees and contractors, and keeping the records the law requires.
- Following employment, wage-and-hour and tax laws that apply to your business.
3. Your account and who you let in
Keep sign-in details secure. Owners use two-factor sign-in. You decide who in your business can see or do what, and you are responsible for activity under your account. If you buy setup help, our setup team works in your business only while you allow it (7 days at a time, and you can stop it at any time); every action they take is in your audit log.
4. Free trial
New businesses get a free trial for the length shown on our pricing page when you sign up. No card is needed during the trial.
5. Fees and payment
After the trial, each business pays the monthly subscription shown on our pricing page when you subscribe: a monthly fee that includes a number of people, plus a fee for each additional employee or contractor paid in the billing month. The per-person part is billed after the month it covers. Card payments are handled by Stripe. We'll give you at least 30 days' notice before a price change takes effect for you.
If a payment fails, or a trial ends without a payment method, everything keeps working during a grace period (14 days unless our pricing page says otherwise). After that your business becomes read-only until you pay: you can still see and download all your records, but you can't run new payroll.
6. Setup help ("Have us set it up")
Setup help is a one-time fee per business, shown before you pay. You pick a week; when your documents are in, we promise a go-live date. If that date passes without your setup being done, you can refund the setup fee yourself from your dashboard. You remain responsible for checking the information we enter before you run payroll.
7. Cancelling and your records
You can cancel at any time from Billing; your subscription ends at the end of the month you've paid for. For 4 years after that you can still sign in, see and download your records (the IRS asks employers to keep payroll tax records for at least 4 years). After that we may delete them as described in our privacy policy.
8. Limited accuracy guarantee
If a tax agency charges you a penalty or interest caused solely by a calculation error in PaySaver.ai, and you completed the related dated task shown in PaySaver.ai (such as a deposit or filing) on time using our figures, we'll reimburse that penalty and interest, up to $1,000 per business per calendar year.
It doesn't cover: the tax itself; errors in information you entered; late or missed deposits, filings or payments; changes you made outside PaySaver.ai; or agency notices you don't send us within 60 days of receiving them.
9. Acceptable use
Don't use the service for unlawful purposes, to pay people you aren't authorized to pay, or to interfere with the service or other customers.
10. Disclaimers
Apart from the guarantee in section 8, the service is provided "as is" and "as available", to the extent the law allows.
11. Limitation of liability
To the extent the law allows, our total liability for all claims about the service is limited to the fees you paid us in the 12 months before the claim (the guarantee in section 8 is in addition to this limit). We are not liable for indirect or consequential losses.
12. Changes and governing law
We may update these terms; we'll tell owners by email at least 30 days before material changes take effect. [Governing law and venue: to be set by counsel.]
